When representing issuers, we view our role as that of a partner with the company. We begin with entity formation and tax planning services and, as the company grows, we help it identify funding sources, create an appropriate investment structure and negotiate and document both the term sheet and the definitive documents for investments. We continue to represent the company as it matures and evolves and, when appropriate, help them capitalize on their market presence via offerings and sales. We
also represent individual and institutional investors. We help them
analyze targets for venture financing and develop an investment
strategy (including both debt and equity financing). In structuring
the investment, our goal is to help the investor maximize its return
by anticipating changes in the issuer and crafting terms that adapt
to those changes.
