Stephanie is an associate in the firm's Corporate, Securities & Finance practice group.  Her practice includes a broad range of corporate and transactional matters, from entity formation and governance to complex commercial contract negotiation and M&A transactions. Stephanie is also a Certified Information Privacy Professional in the United States (CIPP/US) and regularly assists clients with all aspects of data privacy and security compliance, including developing privacy programs, conducting employee training, and providing due diligence support for both buy and sell-side transactions.

Stephanie earned her J.D. with a concentration in business law from William & Mary Law School and her bachelor’s degree from the College of William & Mary, where she graduated magna cum laude.

Experience

  • Represents international heavy equipment manufacturer in connection with various matters, including negotiating sales, supply, and service agreements, nondisclosure agreements, and other commercial contracts.
  • Serves as outside general counsel to HVAC sales and service companies and mechanical contractors. 
  • Assisted lead counsel in restructure of regional HVAC sales and service company and sale of same to private equity firm.
  • Advises clients on compliance with state data privacy laws (including the California Consumer Privacy Act and Virginia Consumer Data Protection Act), TCPA and state telemarketing laws, CAN-SPAM, and other federal and state data privacy and security laws.
  • Represented specialized vehicle manufacturer in obtaining and maintaining motor vehicle manufacturer and dealer licenses in Virginia.
  • Assisted lead counsel in representation of Digital Envoy, Inc. in its acquisition of Outlogic.
  • Advises clients on data breach response, including notification and remediation obligations under state and federal law.
  • Drafts privacy policies, internal compliance protocols, and training materials on various data privacy and security laws.
  • Represented data solutions company in several strategic acquisitions, including acquisition of multiple mobile apps.
  • Assisted lead counsel in representation of Landmark Media Enterprises in the sale of Homes.com to CoStar Group.
