Corporate attorney focused on mergers & acquisitions, private equity, international investment, and complex contract matters.

Emad is Counsel in Willcox Savage’s Corporate, Securities and Finance Section.  He advises small and mid-sized companies, franchises, private equity firms, and foreign investors on a wide range of business transactions. His practice focuses on mergers and acquisitions, joint ventures, commercial contracts, corporate governance, and regulatory compliance, with additional experience in anti-bribery matters and international investment.

Emad brings a global perspective to his practice, informed by experience navigating legal frameworks across the United States, the Middle East, and South Asia. He has advised clients on high-value transactions across a range of industries, including energy, telecommunications, healthcare, and defense.

Prior to entering private practice, Emad served as Managing Attorney for the U.S. Department of Commerce’s Commercial Law Development Program, where he led legal reform and economic development initiatives in Sri Lanka, focusing on trade, insolvency, and intellectual property law.

He began his legal career in the United Arab Emirates, representing multinational corporations, sovereign investors, and family offices on transactional, compliance, and investment structuring matters in financial free zones, including the Dubai International Financial Centre (DIFC) and Abu Dhabi Global Market (ADGM).

Notable Work & Achievements

Mergers & Acquisitions, Private Equity & Strategic Transactions

Emad has advised on a wide range of complex domestic and cross-border transactions, including mergers and acquisitions and strategic contracts across the energy, telecommunications, healthcare, and defense sectors. His experience includes representing Energy Harbor Corp. in its $3.4 billion acquisition by Vistra, as well as advising on the merger of OMNI Environmental Solutions and Purity Oilfield Services. He also regularly counsels private equity firms and international investors on transaction structuring and investment strategy, including his work with Cerberus Capital Management on healthcare investments.

Corporate Governance, Compliance & International Work

In addition to transactional matters, Emad advises companies on corporate governance, regulatory compliance, and anti-bribery and corruption issues. His practice is informed by a strong understanding of international regulatory frameworks and the challenges of cross-border operations. Drawing on his experience with the U.S. Department of Commerce, he has also led legal reform and economic development initiatives abroad, with a focus on trade law, insolvency systems, and intellectual property frameworks.
